How a Foreign Bookmaker Enters Poland: Company, Capital, Security and Timeline

How a Foreign Bookmaker Enters Poland: Company, Capital, Security and Timeline

International betting brands are among the most active applicants for Polish mutual betting permits. The market is large, football-driven and legally open to foreign-owned operators, but the entry process has features that catch newcomers out. This roadmap sets out the steps in the order they should be taken.

Step 1: Choose the vehicle

The permit can be held by a Polish joint-stock or limited liability company, or by an equivalent company from another EU or EEA state operating through a Polish branch with an appointed representative. Most international groups use a Polish subsidiary, which simplifies tax, banking and dealings with the authorities. The company must have registered shares, share capital of at least two million zloty and a transparent ownership chain up to the ultimate beneficial owners.

Step 2: Prepare the people

Board members, supervisory board members and shareholders are vetted for reputation and criminal record, and the source of the capital invested must be documented as lawful. Groups with complex or opaque ownership should simplify before applying. Local management with knowledge of the Polish market and language is not legally required but is practically essential.

Step 3: Arrange the financial security

The applicant must lodge financial security to cover player claims and tax liabilities, usually in the form of a bank guarantee. The amount depends on the scope of the permit. Arranging a guarantee from a bank willing to work with a gambling company takes time and should start early.

Step 4: Build the technical setup

The platform must operate under an approved domain, verify players before play, implement the responsible-gambling regulations and archive all betting data on a device located in Poland or, subject to conditions, in the EU. Localisation into Polish, integration with Polish payment methods and withholding tax logic on winnings are practical necessities.

Step 5: File the application

The application to the Minister of Finance includes corporate documents, evidence of capital and financial standing, the vetting information for people, the technical description, the betting rules, the responsible-gambling regulations and the financial security. The statutory decision period is six months from a complete application, and requests for supplementary information are common.

Step 6: Plan for the economics

The 12% turnover tax dominates the Polish model. Odds, bonus policy and marketing spend must be planned around it, and advertising must comply with Polish restrictions from the first campaign.

Realistic timeline

From decision to launch, most operators need nine to fifteen months, with company formation, guarantees and technical compliance running in parallel with the application.
